LIMITATION OF LIABILITY
In no event shall SoU!, its directors, officers, employees, affiliates, successors or assigns or other representatives be liable, whether in contract, warranty, tort (including negligence-whether active, passive or imputed), product liability, strict liability or other theory, to you or any other person for any damages (including, without limitation, any direct, indirect, incidental, special, exemplary, punitive or consequential damages) arising out of or in connection with any use of, inability to use, or results of use of our Site or any content on our Site even if SoU! or its representative have been advised of the possibility of such damages. If any portion of the foregoing limitation is found to be invalid or unenforceable for any reason, then SoU! total liability to you shall in no event exceed ten Canadian dollars (CDN$10.00). Some jurisdictions prohibit the exclusion or limitation of liability for certain types of damages, in which case the above limitation may not apply to you.
INDEMNIFICATION
You shall indemnify and save harmless SoU!, its officers, directors, employees, affiliates, partners, service providers, consultants, representatives and agents from and against any claim, cause of action or demand, including, but not limited to, reasonable legal, accounting and other professional fees brought as a result of your use of our Site.
ONLINE SHOPPING
In order to purchase through our Site, you must have the age of majority in your province/territory of residence and you must agree to pay for all charges incurred through your account, in the event that you make purchases of products or services through our Site.
Furthermore, any product or service ordered or purchased from our Site may only be ordered or purchased for non-commercial and lawful purposes and any other use is not permitted. SoU! reserves the right to limit the quantities of certain products which you can purchase through the facilities of our Site. In addition to any other rights or remedies, SoU! may, in its sole discretion and without any limitation of liability, restrict or terminate your access to any part of our Site at anytime.
Further, SoU! reserves the right to refuse or cancel any orders containing any error, inaccuracy or omission, whether or not the order has been submitted, confirmed and/or your credit card has been charged. If your credit card has been charged for the purchase and your order is cancelled, SoU! shall promptly issue a credit to your credit card.
PRICES
All prices listed on our Site do not include any taxes or shipping fees. Shipping fees includes a certain preparation and handling fee, plus a postage fee. They are comprised of a fixed amount and of a variable amount related to the number of purchased items. The geographical zone where the customer lives and the shipping method can also modify the shipping fees. Shipping fees will be charged for every order of items, unless specified otherwise by SoU! (for example, in the case of special promotions). It is therefore advised to combine all your items under one order. The total amount of your order is to be paid in full and in one payment at the same time as the order. Any international shipping will have customs and local taxes to be paid by the purchaser.
ACCOUNT NAME AND PASSWORD
You will be required to create an account name and a password in order to avail yourself of certain activities on our Site. As the case may be, it is solely your responsibility to keep your account information and password secure. You must not disclose your password to anyone. You agree to notify SoU! immediately of any unauthorized use of your account. SoU! disclaims all liability arising from or related to your failure to keep your account name and password secure.
PRIVACY POLICY
SoU! warrants that it will preserve the confidentiality of all your personal information. This information will not be shared with anyone outside of SoU! without your consent, to the exception of the host of our Site and the company tasked with processing orders received through our Site if it applies.
SoU! has put in place a technical and organizational structure to insure the security and confidentiality of files made from nominative data incoming from our Site. Nevertheless, SoU! does not have control over all the related threats associated with the use of the Internet, as such, SoU! brings to your attention the possible inherent threats related to the use of the Internet.
In any case, for all items or services bought through our Site, we guarantee that your transactions made on our Site are reasonably safe. The information provided is encrypted and cannot be read while transferred to your financial institution. Thus, you can safely enter your name, complete address and credit card number.
RETURN POLICY
Because of the nature of our products and to maintain our quality standards, SoU! will generally not accept any returns, nor give credits, nor will SoU! exchange items once purchased and delivered. Customers are solely responsible for the accuracy of their orders. SoU! will only accept returns (for exchange) in case of discrepancy between the purchased items and the ones delivered. In such case, the customer must notify SoU! within 24 hours of the delivery of the order and obtain a return authorization from SoU! Any customer’s request received outside of this 24-hour delay will not be accepted. The customer must then send back the items to be returned within 48 hours of the authorization, either by registered mail (postage prepaid) or by courier service. If the items are not sent within such 48 hour period, then the customer will be responsible for any deterioration of the items and may be charged for them notwithstanding their return. Additionally, the customer will be charged for any items that are returned incomplete (upon return), used, soiled, damaged, opened or otherwise deteriorated.
MISCELLANEOUS
Be advised that our Site can be interrupted at all times for maintenance, security or any other technical purposes.
Our Site may send small data text files (“cookies”) to your computer while using our Site. These cookies will facilitate your navigation while on our Site and they will be required to browse and to buy through our Site. GOVERNING LAW
The Terms and Conditions as well as the use of our Site, including any order or purchase made through our Site shall be governed by the laws of the province of Quebec and the laws of Canada applicable therein. The United Nations Convention on Contracts for the International Sale of Goods shall not apply.
